These Terms and Conditions ("Terms") govern access to and use of the Zoa Games platform, including the website located at play.in2itgame.com and all associated services (collectively, the "Platform"), operated by Zoa Games, LLC, a Nevada limited liability company ("Zoa," "we," "us," or "our").
By creating an account, depositing funds, or otherwise using the Platform, you ("Player," "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.
You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
You must be legally permitted to participate in skill-based competitions for prizes in your jurisdiction of residence. Real-money Tournament Mode is not available in jurisdictions listed in our published Restricted Jurisdictions list, which will be available before Tournament Mode launches.
You may not use the Platform if you are subject to economic sanctions or located in a comprehensively sanctioned jurisdiction.
You represent that all information provided during registration and KYC verification is accurate and current.
Zoa reserves the right to request proof of age, identity, and jurisdiction at any time and to suspend access pending verification.
Zoa's core game is a skill-based competition in which outcomes are predominantly determined by player skill — deck-counting, expected-value calculation, and prediction sizing — applied to a fully disclosed, provably-fair deck. Zoa does not represent that chance plays no role in any individual round; rather, skill predominates over the course of a game and across repeated play. This characterization is a foundational basis for the Platform's structure and is subject to the jurisdiction-by-jurisdiction legal standards described in Section 4.
Players may independently verify the fairness of any completed game via the published seed-commit and deck-reconstruction process described in our provably-fair verification guide.
4.1 Free-Play Mode
Uses non-redeemable play tokens with no cash value. Tokens cannot be bought, sold, transferred, or exchanged for anything, and have no value away from the Platform.
No entry fee, and nothing to purchase. There is no paid currency on the Platform and no way to spend money to play, to play more, or to improve your standing.
Free play determines leaderboard standing and cosmetic recognition, and qualifies you for the Monthly Leaderboard Prize described in Section 4.3.
4.2 Tournament Mode (Real-Money) — Not Yet Active. Tournament Mode is described below as the design Zoa intends to build. It is not currently available to any Player, no entry fees are currently collected, and no Player USDC is currently held by Zoa. This section will be updated, and Tournament Mode publicly announced as active, only once it has actually launched in a given jurisdiction.
Available only where indicated as active for your verified jurisdiction. Players pay a disclosed entry fee in USDC to enter a fixed-pool tournament.
A published percentage of each entry fee (currently 85%) funds the prize pool for that tournament; the remaining percentage (currently 15%) is retained by Zoa as an administration fee. The applicable split is displayed prior to entry and does not change after a tournament locks.
At entry, you authorize an exact, fixed transfer of USDC equal to the entry fee from your own wallet into a shared tournament escrow smart contract. Zoa does not receive or hold this amount — the escrow contract does, autonomously, until the tournament is settled or refunded.
No rebuys or additional purchases are permitted once a tournament has locked. Your authorization is limited to the exact entry fee — Zoa and the escrow contract cannot debit any additional amount from your wallet.
If a tournament does not fill or does not settle within its published deadline, you may claim a refund of your entry fee directly from the escrow contract at any time thereafter. This refund does not require Zoa's approval and does not depend on Zoa's platform remaining operational.
Zoa is the administrator of each tournament's prize pool and never takes a competing position against any Player. Zoa does not take a position on the outcome of any hand, round, or tournament.
Total prize liability for a given tournament cannot exceed the funds actually collected into that tournament's prize pool.
Final standings determine payouts according to the fixed, prepublished prize structure disclosed before entry (currently winner-take-all unless otherwise stated for a specific tournament).
4.3 Monthly Leaderboard Prize — Not Yet Active. Zoa intends to award cash prizes each calendar month to the highest-placed Players on the Platform leaderboard. This section describes that programme as designed; it is not currently active, no prizes are currently being awarded, and it will be announced as live only once it has actually launched.
No purchase, no entry fee, no wager. Standing is earned only by playing free games. There is nothing to buy on the Platform, no paid currency, and no way to increase your standing by spending money. You are never required to risk anything of value to compete for or receive a prize.
Standing is earned by skill. Placement is calculated from a published formula combining win rate, activity, scoring performance, and designated challenges. The formula and its weightings are published in advance and apply identically to every Player. Zoa does not adjust an individual Player's standing.
Minimum participation. A Player must complete the published minimum number of games within the month to qualify for a prize. Standings shown for Players below that threshold are informational only.
Monthly reset. Standings reset at the start of each calendar month, UTC. Prizes are determined from the standings as they stand at the moment the month closes.
Fixed prize pool. The prize amount and how it is divided among the qualifying places are published before the month begins and do not change during that month. Zoa's total liability for any month is limited to the published prize pool for that month.
Verification before payment. Before any prize is paid, Zoa will verify the winner's age, identity, and jurisdiction. A prize is not earned or payable until that verification is complete. Zoa may withhold a prize from any Player who cannot or does not complete verification.
Where prizes are not available. Prizes are void where prohibited or restricted by law. Players in jurisdictions on the published Restricted Jurisdictions list may play freely and appear on the leaderboard but are not eligible to receive a cash prize.
One person, one account. Prize eligibility is per person, not per account. Operating more than one account, coordinating with other Players to influence standings, or using automation to play on your behalf forfeits eligibility and may result in account closure.
Taxes. Prizes are income. You are solely responsible for any tax arising from a prize you receive. Where required by law, Zoa will report prize payments to the relevant tax authority and may require a completed tax form before paying.
Integrity. Zoa may withhold or reverse a prize where a Player's standing was obtained through a breach of these Terms, exploitation of a defect, or conduct that undermines fair competition. Zoa will state the reason in writing.
5.1 Player-Controlled Wallet. All Platform balances relevant to Tournament Mode are held exclusively in a self-custodial digital wallet that you control ("your Wallet"), not by Zoa. Your Wallet is created and secured using technology provided by Privy (or a successor wallet infrastructure provider) ("Wallet Provider"), an independent, separately regulated or audited technology provider. Zoa never has access to, and cannot access, the private keys or funds in your Wallet. You are responsible for using the recovery and export tools made available by the Wallet Provider to maintain access to your own Wallet.
Zoa does not maintain a Platform-held balance on your behalf. All USDC associated with your account — whether deposited, entered into a tournament, or won — exists on-chain, either in your own Wallet or, temporarily during an active tournament, in the escrow smart contract described in Section 5.3.
5.2 Funding Your Wallet. Zoa does not sell, exchange, or convert currency, and does not operate or arrange any means of buying digital assets with money. If you wish to fund your Wallet, you do so by transferring USDC to your Wallet address from a source of your own choosing, entirely outside the Platform. Zoa is not a party to that transfer and receives no payment information in connection with it.
Converting USDC to or from any national currency is likewise outside the Platform. You are responsible for using a provider of your own choosing for that purpose, and Zoa neither facilitates, arranges, nor receives information about those transactions.
You acknowledge that use of the Wallet Provider's services is subject to that provider's own terms of service and privacy policy, separate from these Terms.
5.3 Tournament Escrow Smart Contract. When you enter a paid tournament, your Wallet authorizes a transfer of the exact entry fee amount to a shared escrow smart contract operated by Zoa (the "Escrow Contract"). The Escrow Contract, not Zoa, holds all entrants' entry funds for a given tournament until it is settled or refunded. Upon settlement, the Escrow Contract distributes funds automatically according to its published rules: the prize amount to the winner's Wallet, and the disclosed platform fee to Zoa's fee wallet, in a single on-chain transaction. Zoa does not receive the prize pool and separately pay the winner.
Network transaction ("gas") fees required to operate the Escrow Contract are sponsored by Zoa and recovered through the disclosed platform fee. You will not be charged a separate, itemized gas fee to enter a tournament or claim a refund.
Before each game, the Platform publishes a cryptographic commitment (SHA-256 hash) of the deck seed. The seed is revealed at game completion, allowing any Player to independently reconstruct the deck order and confirm it matches everything dealt during the game. Zoa will not alter, and cannot alter without detection, the deck order once a game has begun.
The Platform may include seats occupied by automated or AI-driven players ("Agent Players"), whether operated by Zoa or by third parties.
Agent Players operated by Zoa or any affiliate of Zoa ("House Agents") will never win, receive, or be credited with money or monetary prizes of any kind, in Tournament Mode or otherwise. House Agents may participate in Free-Play Mode and in exhibition or demonstration formats for non-monetary purposes only.
Agent Players and human Players will never compete against one another for money or monetary prizes. Any tournament, table, or match involving real-money prizes will be limited to human Players only, or to Agent Players only, and Zoa will not mix the two in a money-prize context.
Where Agent Players participate in a non-monetary context (Free-Play Mode, exhibitions, or the Agent Arena), this will be clearly disclosed, including which Agent Players are house-operated versus third-party-operated.
Unless expressly stated otherwise, unauthorized use of bots, scripts, or automation by a human Player's account is prohibited under Section 8.
Using unauthorized bots, scripts, or automation to play on your behalf, except where Agent Player participation is expressly authorized under Section 7.
Colluding with other Players to gain an unfair advantage in a tournament.
Operating or controlling more than one account per Player, or entering the same tournament with multiple accounts.
Attempting to reverse-engineer, tamper with, or falsely dispute the provably-fair verification system.
Initiating chargebacks or payment disputes for legitimate deposits.
Using the Platform in a Restricted Jurisdiction or while subject to applicable sanctions.
Any activity that violates applicable law, including anti-money-laundering law.
Violation of this Section may result in suspension or termination of your account, forfeiture of your entry in an active tournament, and withholding of associated winnings pending investigation, in Zoa's reasonable discretion.
Cryptocurrency values and the operation of blockchain networks carry inherent risk, including volatility, transaction delays, and irreversible errors in wallet addresses.
USDC balances held on the Platform are not covered by FDIC insurance, SIPC insurance, or any equivalent government deposit protection.
Skill-based competition, notwithstanding skill predominance, involves variance; a correct decision can still result in a loss in any individual round or tournament.
You are solely responsible for the security of any external wallet or account credentials you use with the Platform.
9.1 Escrow Contract and Wallet Provider Risk. Tournament entry fees are held temporarily by the Escrow Contract described in Section 5.3, not by Zoa. This carries risks distinct from a centralized custody model, including: the possibility of a bug or exploit in the Escrow Contract's code, notwithstanding independent audit; errors, downtime, or vulnerabilities in the Wallet Provider's infrastructure, which secures your own Wallet and which Zoa does not control; the risk associated with Zoa's settlement process, under which an Zoa-operated service attests to tournament results on-chain; and general blockchain network risk, including network congestion, forks, or finality delays. Zoa is not liable for losses caused by vulnerabilities or failures in infrastructure it does not own or control, including the Wallet Provider's systems and the underlying blockchain network itself. The Escrow Contract's source code will be published and independently audited before it holds any real Player funds, consistent with Tournament Mode not yet being active as described in Section 4.2.
9.2 Network ("Gas") Fees. Transactions on the underlying blockchain network require a network transaction fee ("gas"). Zoa sponsors this fee on your behalf for tournament entry, settlement, and refund transactions, and recovers this cost through the disclosed platform fee rather than charging it to you separately. Zoa does not set, and does not profit beyond this recovery from, network gas rates.
9.3 Tax Liability. You are solely responsible for determining, reporting, and paying any taxes that may apply to your use of the Platform, including tournament winnings and any change in value of USDC or other assets you hold. Zoa does not provide tax advice. Where required by applicable law, Zoa may report certain prize payments to tax authorities and may request additional identifying information from you for this purpose.
All game design, software, graphics, trademarks, and content on the Platform are the property of Zoa or its licensors and are protected by applicable intellectual property laws. You are granted a limited, revocable, non-transferable license to access and use the Platform for personal, non-commercial play.
Zoa may suspend or terminate your account, with or without notice, for violation of these Terms, suspected fraud, legal or regulatory requirements, or at Zoa's reasonable discretion. Because Zoa does not hold your funds (see Section 5), termination of your account does not affect your ability to access your own Wallet or its contents. Any funds you have entered into an active tournament remain subject to that tournament's normal settlement or refund process under Section 5.3.
Because Zoa does not hold your funds (see Section 5), there is no Zoa-held balance for Zoa to hold, fee, or return to you outside of an active tournament. Refunds are instead handled directly by the Escrow Contract, automatically and without requiring Zoa's approval, in the following circumstances:
A tournament does not reach its required number of entrants by its published join deadline.
A tournament is cancelled before it locks, for any reason.
A tournament fails to settle within its published settlement deadline, for any reason, including a failure of Zoa's own settlement process.
In each case, you may call the Escrow Contract's refund function directly, at any time after the relevant deadline, to recover your entry fee to your own Wallet. This right does not depend on Zoa's platform remaining operational, and Zoa cannot block, delay, or condition a refund that meets these published criteria.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOA AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOSSES RELATED TO CRYPTOCURRENCY VOLATILITY, NETWORK FAILURES, OR THIRD-PARTY PAYMENT PROVIDER ERRORS. ZOA'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT OF YOUR DEPOSIT BALANCE AT THE TIME THE CLAIM AROSE.
You agree to indemnify and hold harmless Zoa from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your violation of applicable law.
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Platform will be resolved in the state or federal courts located in Nevada, and you consent to the personal jurisdiction of those courts.
Disputes specifically concerning a tournament result (for example, a challenge to the outcome submitted to the Escrow Contract under Section 5.3) will be handled under a separate tournament result dispute process, to be published before Tournament Mode becomes active. That process is in addition to, and does not replace, your rights under this Section.
Zoa may update these Terms from time to time. Material changes will be notified via the Platform or by email prior to taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
